📌 Purpose: To protect intellectual property, brand strategy, trade secrets, and competitive market positioning, all parties engaged with KDV ENT 901 LLC—including but not limited to sponsors, potential partners, collaborators, investors, vendors, or internal team members—agree to the following binding confidentiality terms:
- Non-Disclosure of Proprietary Information: Any proprietary, sensitive, or confidential information disclosed during any stage of engagement—including pitch decks, CRM analytics, financial forecasts, marketing strategies, unreleased creative materials, music masters, login credentials, design files, and any internal communications—must be kept strictly confidential.
Confidential information shall not be duplicated, distributed, forwarded, recorded, discussed externally, or used for competitive advantage without express written consent from KDV ENT 901 LLC.
- Scope and Format: Confidentiality applies to all forms of communication and media, including but not limited to: verbal, written, printed, digital, audio, and visual assets.
- Term of Agreement: This Non-Disclosure obligation will remain active throughout the duration of the business relationship and for a period of five (5) years following the conclusion of any formal or informal engagement.
- Ownership of Materials: All proprietary content (pitch decks, unreleased media, sponsorship blueprints, mockups, music, show materials, etc.) remain the exclusive intellectual property of KDV ENT 901 LLC.
Access to confidential materials does not grant any rights, license, or entitlement to reuse, replicate, or redistribute said assets.
- Breach and Enforcement: Violation of this NDA clause will trigger one or more of the following:
- Permanent removal from all KDV ENT 901 partner rosters and sponsorship platforms
- Issuance of legal demand letters or cease-and-desist orders
- Civil lawsuits for breach of contract and financial restitution
- Public retraction requests and/or injunctive relief
- Legal Standing: This NDA clause is fully enforceable in courts of law within Shelby County, Tennessee, and binding under U.S. copyright, trade secret, and intellectual property statutes.
By engaging with any part of the KDV ENT 901 movement, brand architecture, sponsorship program, or media blueprint, you affirm that you understand and legally accept the above confidentiality obligations.
